These Terms of Service ("Terms") form a binding agreement between you and Soulog Inc., located at 8 The Green, Ste A, Dover, DE 19901, United States ("Soulog," "we," "us," or "our"). They govern your use of the Soulog online store at soulog.com, including the customer account pages at account.soulog.com (together, the "Store"), and your purchase of products through it.

Please read these Terms carefully. You accept these Terms only through the affirmative acceptance process presented by Soulog or an authorized checkout or distribution channel. Merely visiting a public Store page does not by itself create an agreement to these Terms. If you do not agree, do not place an order or use any Store feature that requires acceptance.

IMPORTANT ARBITRATION NOTICE. Section 22 requires most disputes to be resolved through binding individual arbitration. By accepting these Terms, you and Soulog waive the right to a jury trial and to participate in a class, collective, mass, or representative action. You may opt out of arbitration within 30 days as described in Section 22.5.

1. Scope

These Terms cover browsing the Store, creating a Store account, placing an order, payment, shipping, returns, and your use of the Store's content and features. They apply to a purchase you complete through the Store's checkout. Where a Store page links you to a separate checkout operated for another Soulog offering, the purchase you make there is governed by the terms presented at that checkout, not by these Terms.

Where these Terms and separate terms presented in connection with Soulog applications, device software, or other services both apply to the same matter, these Terms govern the purchase transaction, and those separate terms govern the use of the applicable software or services.

2. Acceptance and Additional Terms

You accept these Terms only through the affirmative acceptance process presented at checkout or through another Store control that clearly identifies these Terms. If you place an order for a company or other organization, you represent that you have authority to bind that organization. In that case, "you" includes the organization.

The Soulog Online Store Privacy Policy, the Shipping Policy, the Warranty Policy, and any purchase, promotion, product-specific, refund , or feature-specific terms presented to you in connection with the Store (collectively, "Additional Terms") may apply and, when presented to you, are incorporated by reference into these Terms. If Additional Terms conflict with these Terms, the Additional Terms control for the relevant purchase, product, promotion, or subject matter.

The Soulog Online Store Privacy Policy controls with respect to Soulog's processing of personal information through the Store.

3. Eligibility

The Store sells and ships only within the United States, and only to destinations shown at checkout and described in the Shipping Policy. Some United States destinations may be outside our current delivery network. We do not accept orders for delivery outside the United States.

To place an order, you must have reached the age of majority where you live and be able to form a binding contract. A person below the age of majority may use the Store only with the involvement and consent of a parent or legal guardian, who assumes responsibility for the order.

You must provide accurate, current order and contact information and keep it updated. You may not place an order if applicable law prohibits the transaction or if you are subject to U.S. sanctions or restricted-party rules that prohibit the transaction.

4. Store Accounts

You may browse and check out without a Store account. If you create one, authentication is provided by Shopify's customer accounts service at account.soulog.com. You are responsible for safeguarding your account credentials and for activity under your Store account. Notify us promptly at support@soulog.com if you suspect unauthorized access.

A Store account is separate from any account you create in the Soulog applications. Store-account information and deletion are handled as described in the Soulog Online Store Privacy Policy and the controls made available through the Store.

5. Marketing Communications

We send marketing email only if you have signed up to receive it. Every marketing email contains an unsubscribe mechanism, and you may also contact privacy@soulog.com. Unsubscribing from marketing does not stop transactional, account, security, shipping, return, refund, or material Terms notices.

6. Products, Descriptions, and Availability

Product descriptions, specifications, images, and packaging are provided to help you decide, and we work to keep them accurate. Colors and finishes may appear slightly different on different screens. Packaging may change from time to time. Any material difference in included accessories or other product features relevant to your purchase will be disclosed on the applicable product page or at checkout.

Products and quantities are offered subject to availability. We may change, limit, or discontinue a product at any time and may impose per-order or per-customer quantity limits. Where a product is offered for pre-order, the shipping window shown at the time of order is an estimate, not a guaranteed date. If the estimate changes materially, we will notify you; you may cancel a pre-order for a full refund at any time before it ships.

Software, firmware, cloud, AI, and other features available for use with a product may vary or change over time depending on the applicable app version, device, plan, region, settings, release stage, and availability. Current feature availability is reflected in the Soulog applications and is subject to the separate terms applicable to those software and services.

7. Prices, Taxes, and Pricing Errors

Prices are shown in United States dollars. Sales tax and shipping charges, where applicable, are calculated and displayed at checkout before you confirm your order. We may change prices at any time, but a price change does not affect an order we have already accepted.

Sales tax is calculated based on the shipping address and applicable law. Where we are not required to collect sales tax, you may remain responsible for reporting and paying any applicable use tax.

Despite our efforts, a product may occasionally be listed at an incorrect price or with an incorrect description. Where an error is clear, we may decline or cancel the affected order, including after an order confirmation has been sent, and we will notify you and refund in full any amount charged. We will not charge you a corrected price without your agreement.

8. Orders, Acceptance, and Payment

Your order is an offer to buy. It becomes a binding contract only when we accept it, which occurs when we send you a shipment confirmation for the relevant items. An order-confirmation email acknowledges receipt of your order; it is not acceptance.

We may decline or cancel an order, in whole or in part, where a product is unavailable, where there is a pricing or description error, where we reasonably suspect fraud or a payment problem, where an order exceeds a stated quantity limit, or where fulfillment would be unlawful. If we do, we will notify you and refund any amount charged for the cancelled items.

Payment is processed by the provider you select at checkout. By submitting payment information, you represent that you are authorized to use the payment method. Your payment method may be authorized when you place the order and charged when we ship, or as otherwise disclosed at checkout.

9. Shipping, Delivery, Title, and Risk of Loss

We ship only within the United States to the address you provide at checkout. Shipping availability, rates, processing times, and estimated delivery times are described in the Shipping Policy and, where applicable, shown at checkout. Delivery times are estimates only and may be affected by carriers, weather, and other events outside our reasonable control.

If we cannot ship within the time stated at the time of order, we will provide the notice, revised shipping option, cancellation opportunity, or refund required by applicable law. Title and risk of loss pass to you when the carrier delivers the package to the address you provided.

If a package is lost or damaged in transit, contact support@soulog.com and we will arrange a replacement or refund in accordance with the Refund Policy. You are responsible for providing a complete and accurate delivery address and arranging safe receipt. Additional costs resulting from an incorrect or incomplete address may be charged as described in the Shipping Policy.

10. Returns, Cancellations, and Refunds

You may request to cancel an order before it ships by contacting support@soulog.com. Once an order has shipped, the return process applies.

The Refund Policy is part of this contract. It sets out the return window, required product condition, return-shipping allocation, non-returnable items, return procedure, and refund method. The version in effect when you place your order applies to that order; we will not retroactively apply a shorter return window or stricter return condition.

If a product arrives damaged or will not power on, contact support@soulog.com. We will arrange a replacement or refund under the Refund Policy, and you will not be charged return shipping for a product that was faulty on arrival. Refunds are issued to the original payment method unless applicable law requires otherwise.

Nothing in this Section limits any non-waivable rights you have under applicable consumer-protection law, including rights relating to products that are faulty or not as described.

11. Hardware Warranty

The Soulog Sense Device main unit sold through the Store is covered by the one-year limited hardware warranty set out in the Warranty Policy applicable to your purchase. That Warranty Policy sets out the warranty period, coverage, exclusions, eligibility requirements, claim procedures, and required evidence and controls for warranty matters, subject to applicable law.

Warranty coverage and exclusions are governed by the Warranty Policy applicable to your purchase.

Your statutory rights are not affected. This warranty gives you specific legal rights, and you may also have other rights that vary from state to state.

12. What Your Purchase Includes, and What It Does Not

Purchasing a Soulog device gives you ownership of that hardware unit. It does not grant you a paid software subscription and does not entitle you to any specific software feature indefinitely.

Software, firmware, cloud, AI, and other digital features are licensed, not sold. Their use is governed by the separate terms presented for the applicable Soulog applications and services. Features may be added, changed, or discontinued as described in those terms and as reflected in the applicable applications.

Where a product is sold together with a promotional or included subscription period, the length of that period and what happens when it ends are disclosed on the product page at the time of purchase.

The Store sells hardware and accessories. Software subscriptions are not sold through the Store's checkout. A Store page may link to a separate checkout for subscriptions; any subscription purchased there is a separate transaction governed by the terms presented at that checkout, including its price, billing period, auto-renewal, cancellation, and refund conditions.

Using the device requires a compatible phone or computer, an account, and network access, which are your responsibility.

13. Promotions and Discount Codes

Discount codes, bundles, and promotional offers are subject to the terms shown with the offer, may be limited in time or quantity, cannot be combined unless we state otherwise, and have no cash value. We may cancel an order placed using a code that was obtained, duplicated, or used in a manner the offer did not permit.

14. Reviews and Other Content You Submit

If you submit a review, photo, question, or other material to the Store, you keep ownership of it and grant Soulog a worldwide, royalty-free, non-exclusive license to host, reproduce, display, adapt for formatting, and distribute it in connection with the Store and our marketing.

You represent that you have the right to submit the material, that it is truthful and reflects your genuine experience, and that it does not infringe another person's rights. We may decline to publish or may remove material that is unlawful, misleading, off-topic, abusive, or appears not to describe a genuine experience. We do not pay for reviews and do not remove a review solely because it is negative.

15. Acceptable Use of the Store

You must not use the Store to:

  • violate applicable law or place fraudulent or speculative orders;
  • resell products purchased from the Store without our written authorization, or purchase products for unauthorized resale;
  • use bots, scrapers, or automated means to access the Store, evade quantity limits, or collect prices or content;
  • interfere with or attempt to compromise the security or integrity of the Store, or gain unauthorized access to an account or system;
  • infringe intellectual-property, privacy, publicity, or other rights; or
  • misrepresent your identity or your authority to use a payment method.

Soulog may investigate suspected violations and may restrict, suspend, or refuse Store access or service where reasonably necessary to address a violation, security or fraud risk, legal risk, or harm. Where practicable, Soulog will provide notice and an opportunity to respond, but may act immediately in urgent or severe cases.

16. Export Controls and Sanctions

You may not order, use, export, re-export, or transfer a product in violation of United States export-control laws, economic sanctions administered by the Office of Foreign Assets Control, or restricted-party rules. By placing an order, you represent that you are not located in, and are not ordering on behalf of a person located in, a comprehensively sanctioned country or region, and that you are not a person on a U.S. restricted-party or denied-persons list.

Where Soulog determines in good faith that fulfilling an order would violate these rules, we may cancel the order, refuse shipment, or decline service, and will refund any amount charged for cancelled items.

17. Intellectual Property

The Store and its content, including text, product images, graphics, page design, and the Soulog name and logo, are owned by Soulog or its licensors and are protected by intellectual-property and other laws. Subject to these Terms, Soulog grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Store for shopping and to keep a personal copy of your order records.

You may not copy, republish, distribute, sell, lease, sublicense, publicly display, reverse engineer, or use Store content or Soulog trademarks for commercial purposes except as expressly permitted by Soulog or where applicable law prohibits the restriction.

18. Third-Party Services and Links

The Store operates on the Shopify commerce platform, and checkout, payment, and account authentication may be provided by Shopify or by the payment provider you select. The Store may also link to third-party websites and services. Third-party services are not owned or controlled by Soulog and are governed by their own terms and privacy policies.

Soulog is not responsible for an independent third party's service outage, policy change, data practice, or misconduct, except to the extent liability cannot lawfully be excluded or arises from Soulog's own breach of duty.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE STORE AND STORE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." SOULOG DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES RELATING TO THE STORE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

SOULOG DOES NOT WARRANT THAT THE STORE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION CREATES A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OR AN APPLICABLE WARRANTY POLICY.

Hardware products are treated separately. The Warranty Policy governs any express limited hardware warranty. Nothing in these Terms disclaims or limits implied warranties except to the extent expressly stated in the Warranty Policy and permitted by applicable law. Non-waivable consumer rights remain unaffected.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • SOULOG AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR CONTENT, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR; AND
  • SOULOG'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO AN ORDER, THE STORE, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE LIABILITY.

These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not apply to fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, product-liability claims to the extent they cannot lawfully be limited, or other liability that cannot lawfully be limited. For claims under the Warranty Policy, the Warranty Policy governs. Except as provided in the Warranty Policy and to the maximum extent permitted by law, Soulog is not responsible for direct, special, incidental, or consequential damages resulting from any breach of warranty or condition. Some states do not allow the exclusion or limitation of incidental or consequential damages or limitations on how long an implied warranty lasts, so those limitations or exclusions may not apply to you. Applicable non-waivable consumer rights remain unaffected.

21. Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Soulog, its affiliates, and their officers, directors, employees, and agents from third-party claims, damages, losses, liabilities, and reasonable costs arising from:

  • your unlawful, unauthorized, fraudulent, or abusive use of the Store;
  • your unauthorized resale of a product;
  • material you submit under Section 14;
  • your breach of these Terms, Additional Terms, or applicable law; or
  • your violation of another person's intellectual-property, privacy, publicity, or other rights.

Soulog will provide reasonable notice of a covered claim and may control the defense with counsel of its choice. You will reasonably cooperate. This Section does not require a consumer to indemnify Soulog for Soulog's own negligence, willful misconduct, or violation of law where such indemnity is prohibited.

22. Individual Arbitration and Class-Action Waiver

22.1. Informal dispute resolution

Before starting arbitration or a court proceeding, the claimant must send a written notice to legal@soulog.com describing the claimant, order or account information, facts, legal basis, and requested relief to the extent reasonably available. The parties will attempt in good faith to resolve the dispute for 30 days. This requirement does not prevent either party from seeking urgent temporary relief where delay could cause irreparable harm.

22.2. Binding individual arbitration

Except for the matters listed in Section 22.3, any dispute arising out of or relating to these Terms, the Store, a purchase, an order, or the parties' relationship will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitrator has exclusive authority to resolve disputes concerning the scope, enforceability, or formation of this arbitration agreement, except that a court may decide the enforceability of the class-action waiver.

The arbitration may be conducted by video, telephone, written submissions, or an in-person hearing reasonably convenient to you, as permitted by the AAA rules. Fees will be allocated under the AAA rules and applicable law. Soulog will pay amounts it is required to pay under those rules or law.

22.3. Exceptions

Either party may:

  • bring an individual claim in small-claims court if the claim qualifies and remains individual;
  • seek relief from a government agency where applicable law permits;
  • seek temporary or preliminary injunctive relief in court to prevent unauthorized access, security abuse, or imminent infringement or misappropriation of intellectual-property or confidential rights; or
  • bring a court action concerning ownership or infringement of patents, copyrights, trademarks, or trade secrets.

22.4. No jury trial; no class or representative proceedings

YOU AND SOULOG WAIVE THE RIGHT TO A JURY TRIAL. EACH PARTY MAY BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF DIFFERENT PERSONS OR CONDUCT A CLASS, COLLECTIVE, MASS, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING, UNLESS ALL AFFECTED PARTIES EXPRESSLY AGREE IN WRITING.

22.5. Thirty-day opt-out

You may opt out of this arbitration agreement by emailing legal@soulog.com within 30 days after you first accept these Terms. Use the subject line "Arbitration Opt-Out" and include your full name, order or account email, and a clear statement that you opt out of Section 22. Opting out will not affect your ability to use the Store or purchase products. An opt-out applies only to the individual who timely submitted it.

22.6. Changes and severability

If Soulog materially changes this Section after you accept it, you may reject the change by sending written notice to legal@soulog.com within 30 days after the change notice. The prior version will then govern your existing relationship. If a portion of this Section is unenforceable, it will be severed to the minimum extent necessary, except that if the prohibition on class or representative arbitration is unenforceable as to a particular claim, that claim must proceed in court and not in arbitration.

23. Governing Law and Court Proceedings

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 22. Disputes subject to Section 22 must be resolved through individual arbitration. For any court proceeding permitted under Section 22, including a qualifying small-claims case, an excluded intellectual-property claim, or a proceeding involving a timely arbitration opt-out, the parties consent to the state and federal courts located in Delaware, unless applicable law gives a consumer a non-waivable right to another forum.

24. Changes and Miscellaneous Terms

24.1. Changes

Soulog may update these Terms to reflect changes in the Store, law, business practices, or risk. The version in effect when you place an order governs that order. We will post an updated version with a new "Last updated" date. For a material change, we will provide advance notice where reasonably practicable and as required by law. If a change requires affirmative consent, we will request it before applying the change. Changes to Section 22 are also subject to Section 22.6.

24.2. Electronic communications

You consent to receive agreements, receipts, order notices, shipping and delivery notices, return and refund notices, legal notices, security notices, and other Store communications electronically by email, Store message, or website posting. Electronic communications satisfy legal writing requirements to the extent permitted by law. Marketing communications remain subject to applicable consent and opt-out requirements.

24.3. Assignment

You may not assign or transfer these Terms without Soulog's prior written consent. Soulog may assign these Terms in connection with a merger, acquisition, financing, reorganization, asset transfer, or operation of law.

24.4. Entire agreement, waiver, severability, and force majeure

These Terms and the incorporated Additional Terms are the entire agreement concerning your use of the Store and purchases through it and supersede prior communications on the same subject. A failure to enforce a provision is not a waiver; a waiver must be in writing. If a provision is invalid or unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions remain effective. Soulog is not responsible for delay or non-performance caused by events beyond its reasonable control, except to the extent applicable law provides otherwise.

24.5. Language

The English version is authoritative. Translations are provided for convenience; if a translation conflicts with the English version, the English version controls, except where applicable law requires otherwise.

25.1. Notice to California residents

Under California Civil Code Section 1789.3, California users may contact the Consumer Information Division of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N-112, Sacramento, California 95834, or by telephone at (800) 952-5210, regarding complaints or questions about the Store.
